Independence is one of the most frequently discussed qualities in board appointments. It is also one of the most difficult to assess. On paper, independence can look straightforward. No conflicts of interest. No close relationships that could influence decision-making. A career history that demonstrates objectivity. In practice, it is more nuanced than that. True independence is often revealed in moments of challenge rather than moments of agreement. Can a Non-Executive Director ask difficult questions when everyone else in the room appears comfortable? Can they challenge a decision they personally support if the governance process has not been followed properly? Can they remain objective when under pressure to reach consensus? Those are not theoretical scenarios. They are the moments where effective governance is tested. The strongest boards are rarely made up of people who think alike. They are made up of individuals who bring different perspectives whilst maintaining a shared commitment to the organisation's long-term success. That requires constructive challenge. Not challenge for the sake of it. Not disagreement as a performance. But the confidence to ask questions that help the board make better decisions. Board appointments often focus on experience, sector knowledge and professional credibility. All are important. The ability to exercise independent judgement is just as important once the appointment begins. Most organisations know who their current Finance Director or CFO is. Far fewer know who could step into the role if they left tomorrow. Succession planning is one of those topics that receives plenty of attention when business conditions are stable and considerably more attention when they are not. The challenge is that effective succession planning is not really about replacement. It is about preparation. A common assumption is that a strong deputy automatically becomes a strong successor. Sometimes that is true. Often it is not. The skills required to lead a finance function are changing. Technical expertise remains important, but leadership capability, commercial judgement, stakeholder management and strategic influence are becoming increasingly significant parts of the role. That means succession planning should be focused not only on who could step up today, but who is being developed to lead the finance function the business will need in the future. The organisations that do this well tend to treat succession planning as an ongoing conversation rather than an annual exercise. They actively create opportunities for high-potential finance professionals to broaden their experience, increase their visibility and develop leadership capability long before a vacancy exists. When a senior finance leader leaves, the impact is rarely limited to the finance function. The businesses that navigate those moments best are usually the ones that prepared long before they needed to. One of the biggest differences between a good Finance Director and an influential one is often commercial judgement. Technical expertise is expected at this level. The ability to understand the numbers, challenge assumptions and maintain strong financial control is what gets someone into the conversation in the first place. What tends to differentiate the strongest Finance Directors is what happens after that. Can they translate financial information into business decisions? Can they challenge a leadership team without creating friction? Can they balance financial discipline with commercial opportunity? Those skills are difficult to develop because they are rarely learned in isolation. They are built through exposure. Working alongside operational leaders. Supporting growth initiatives. Navigating difficult decisions where there is no perfect answer. Many organisations talk about wanting commercially minded finance leaders. The more interesting question is how many have created an environment that develops them. A strong CFO does not automatically become a strong PE CFO. The environment is different. In many corporate businesses, finance leadership is measured over years. In a private equity-backed business, the timeline is often compressed. Decisions move faster. Reporting requirements are more demanding. The expectations placed on the leadership team are usually more explicit. The CFO sits at the centre of that. They need to provide confidence to investors, challenge assumptions within the business and create the financial visibility required to support decision-making at pace. Technical expertise is part of the equation. Commercial judgement is equally important. So is the ability to operate when there is no perfect answer. Many of the most successful PE-backed CFOs have a strong understanding of value creation, not just financial management. They know how to prioritise. They understand what drives investor confidence. And they recognise that the role is often as much about influencing outcomes as it is about reporting on them. The challenge for organisations is that these qualities can be difficult to identify on a CV. A candidate's experience will tell you where they have worked. It does not always tell you how they behaved when expectations were high, timelines were tight and the pressure increased. That is often where the real assessment begins. Most executive searches succeed or fail before a single candidate is approached. Not because of the market. Not because of candidate availability. Because of the brief. At C-suite level, organisations often spend considerable time discussing who they want to hire and considerably less time discussing what the business actually needs. Those are not always the same thing. A specification built around the person who is leaving can feel logical. So can a list of skills based on what has worked historically. The challenge is that businesses rarely hire executives to operate in the past. The strongest appointments are usually built around the future. What challenges will the organisation face over the next three years? What capabilities will the leadership team need that it does not currently have? What relationships will this individual need to build internally and externally? What decisions will they be expected to influence? Those questions often reveal a different brief from the one that existed at the start of the process. Executive appointments rarely fail because someone lacked experience. More often, they fail because the organisation assessed the wrong things. The quality of the brief shapes every decision that follows. It influences where candidates are found, how they are assessed and ultimately whether the appointment creates long-term value. The search starts with candidates. The outcome usually starts with clarity.
