Ah, management carve outs! Now, here is a real testing ground for VC's.   How do you feel about cutting management teams into low-priced exits that eat into your liquidation preferences?  How do you act in the best interest of your LPs when there is a clear divergence as to where a limited amount of cash needs to go? Does acting in the best interest of your investors mean making sure the management team is incentivized?  Or does it mean defending every last dollar the fund gets back, management be damned? Or would you rather be founder friendly and not protect your fund?  Sweep this one under the carpet and take the friendly, "easy way out"? Is the ethical answer to make sure founders don't walk away with nothing after years and years of hard toil?  Or does the ethical route actually mean enforcing investment contracts to which everybody agreed in the first place? And if you're a board member, how do you act in everyone's best interest? I don't think there is a "right answer" here; it is very situation dependent.  A blunt "shareholder-first "mentality does not begin to cut it. These kinds of situations will test your courage to be disliked, your morality & ethics, your various fiduciary duties, and the clarity of your thinking. A lot of people will call this: “timing” “opportunity” “being in the right place at the right time” But let’s talk about patterns — not coincidence. 📌 The real timeline: • Built Pagar.me → sold to Stone (exit widely reported in the tens of millions) • Built Brex → scaled globally → sold to one of the largest US banks (multi-billion-dollar exit) You can get lucky once. But when the same playbook works twice, at completely different scales, that’s not luck. That’s repeatable execution. And here’s the part most people are missing 👇 Capital One didn’t just pay for software, customers, or ARR. They paid for something far more rare: 🧠 Founder Mode. Big companies have capital. But they lose speed, hunger, and true ownership mindset. By acquiring Brex, they’re buying: • Execution culture • Innovation under pressure • Builder mentality, not operator mentality Now the detail that says everything: 💥 50% cash. 50% equity.
