Corporate Counsel

A leading private investment firm is seeking a Legal Associate (Counsel) to join its team in Chicago. This role offers a unique opportunity to work at the intersection of legal, compliance, governance, and investment operations, supporting a sophisticated organization with a diverse portfolio of private investments and affiliated entities.

The successful candidate will serve as a key member of the Legal & Compliance function, partnering with business leaders and stakeholders across the organization to support risk management, corporate governance, regulatory compliance, and legal operations. This position is ideal for an attorney who enjoys a broad-based in-house role with exposure to private equity, investment management, trust administration, and corporate governance matters.

This established private investment firm focuses on partnering with market-leading North American companies across the manufactured products and services sectors. Managing investments in middle-market businesses with enterprise values ranging from approximately $200 million to $2 billion, the firm is recognized for its disciplined investment approach, deep operational expertise, and long-term value creation strategy. Key Responsibilities

• Support legal and compliance initiatives across the organization, including regulatory filings, board meeting preparation, audit support, and internal governance processes.
• Draft, review, and administer a variety of legal documents, including commercial contracts, vendor agreements, confidentiality agreements, engagement letters, and investment-related documentation.
• Assist with the formation, maintenance, governance, and administration of a large portfolio of business entities, trusts, foundations, and investment-related structures.
• Support investment operations through review of subscription documents, capital contribution and redemption requests, and passive fund investments.
• Manage projects related to trust administration, regulatory compliance, and investment-related legal matters.
• Coordinate legal filings, document management, information requests, and cross-functional projects.
• Assist with the development, implementation, and maintenance of company policies, procedures, and compliance frameworks.
• Participate in special projects designed to enhance legal operations, governance, and organizational effectiveness.

Qualifications

• Juris Doctor (J.D.) from an accredited law school.
• Approximately 2–4 years of experience in a law firm, corporate legal department, financial services organization, or comparable environment.
• Familiarity with corporate governance, contracts, entity management, and regulatory compliance matters.
• Understanding of business and commercial agreements, including operating agreements and vendor/service contracts.
• Strong analytical, organizational, and problem-solving skills.
• Exceptional attention to detail and ability to manage multiple priorities in a fast-paced environment.
• Excellent written and verbal communication skills.
• High level of professionalism, discretion, and commitment to confidentiality.
• Proficiency with Microsoft 365 applications and legal technology tools; interest in leveraging technology and AI-enabled solutions to improve efficiency is a plus.
